What rights arise when a distribution relationship ends in Turkey?
Termination does not always require compensation. However, ending a distribution agreement in breach of contract or without appropriate notice may create a damages claim. A goodwill indemnity based on the customer network has different conditions. In a dispute between a Turkish distributor and a foreign manufacturer, identify the actual relationship, governing law and court or arbitration clause before assessing the notice.
Stock, rebates, outstanding orders, investment and customer goodwill should not be combined into one unsupported figure. Each has its own legal basis and evidence. Prepare a termination chronology and separate heads of claim so that commercial expectations are not confused with contractual rights. (Turkish Code of Obligations, contractual obligations and breach)
Distributor, commercial agent and exclusive dealer
A distributor generally buys and resells in its own name and for its own account. A commercial agent may arrange contracts for a principal or conclude them with authority. Labels such as “agent” and “distributor” are not decisive: examine invoicing, stock risk, the customer’s contractual counterparty and the earnings model. Misclassification can lead to the wrong notice period or compensation calculation.
Exclusive distribution concerns exclusivity in a territory or customer group. Not every distributor has it; direct sales, online channels, national accounts or product categories may be reserved. “Turkey distributor” is not sufficient evidence of the precise exclusive right. Reviewing commercial contracts under Turkish law therefore begins with the substance of the relationship.
Fixed terms, renewal and ordinary termination
Check expiry, automatic renewal and the deadline for a non-renewal notice. Non-renewal differs from early termination of a running agreement. Continued orders and deliveries after expiry may require a fresh characterization rather than assuming that the original document remains unchanged.
For an indefinite distribution agreement, notice depends on the contract, relationship and applicable law. The three-month agency rule cannot automatically be applied to every distribution arrangement. Network size, relationship-specific investment and alternative sourcing may matter. A transition plan should align final orders, deliveries, warranty service and customer communication.
Immediate termination for cause
Serious payment failures, material breaches or conduct fundamentally affecting trust may support termination for cause. Contractual cure periods must not be overlooked. Every missed sales target is not necessarily sufficient: consider how targets were set, whether products were supplied and the parties’ previous practice. The remedy must relate to the seriousness of the breach.
In a hypothetical case, a manufacturer relies on missed annual targets but was unable to supply products for a long period. Orders, delivery delays and cancellations matter alongside the target sheet. In another hypothetical case, repeated extensions for late payment make the final notice and limits of previous tolerance relevant.
Preparing and serving the notice
Identify the parties, agreement date, contractual basis, effective termination date and any cure period. The notice must be made by an authorized person and reach the proper counterparty. An email to a group company does not necessarily constitute notice to the contracting entity.
For notices between merchants concerning default, termination and withdrawal, Article 18(3) of the Turkish Commercial Code addresses methods including notarial notice, registered letter, telegram and registered electronic mail with secure electronic signature. Contractual notice addresses also matter. The evidential value of ordinary emails and compliance with a prescribed notification method are separate questions. (Turkish Commercial Code, Article 18)
Separating the possible damages claims
A claimed loss must connect to the breach and legal basis. Potential heads include earnings during an appropriate notice period, unfinished business or certain dedicated investments. Not every expenditure is recoverable. Actual loss, causation and compensation from other sources must be shown. Turnover is not the same as lost profit.
| Claim | Main question | Useful evidence |
|---|---|---|
| Lost profit | Net loss and causation | Sales, costs and margins |
| Investment loss | Dedicated use and remaining value | Approval, invoices, depreciation |
| Stock return | Contractual duty and condition | Inventory and return clause |
| Goodwill indemnity | Statutory conditions and equity | Customer development and continuing benefit |
| Rebates | Whether entitlement accrued | Targets and reconciliations |
A loss cannot be recovered twice. If the full stock value is claimed, resale proceeds cannot simply be ignored. State the currency and valuation date. Interest and default dates may differ between claims and should not automatically be treated as identical.
When can a goodwill indemnity be available?
Article 122 regulates agency goodwill indemnity and extends it, insofar as not contrary to equity, to exclusive dealership and similar continuing relationships granting exclusivity. It does not promise an automatic portfolio payment for every dealership or non-exclusive distribution contract. The relationship, customer contribution, important continuing benefit and fairness must be assessed together. (Turkish Commercial Code, Article 122)
Goodwill indemnity is distinct from wrongful-termination damages. Its conditions may need examination even after lawful termination. Conversely, wrongful termination does not substitute for those conditions. Distinguish customers introduced through the distributor’s efforts from existing brand customers and explain how the supplier continues to benefit.
The calculation ceiling and one-year period
Article 122 sets a ceiling by reference to average annual commissions or other payments over the last five years, or the shorter actual relationship. Applying that measure to distribution requires adaptation to the earnings structure. Turnover, gross margin and net earnings are different. A ceiling is not proof of entitlement to that entire amount.
The indemnity must be asserted within one year after termination of the contractual relationship. This is not a common deadline for every damages claim. Restrictions on advance waiver and the effect of the termination reason must also be examined. Preserve the claim’s content and delivery date. Negotiations do not automatically protect deadlines; mediation and proceedings need a separate timetable.
Remaining stock, spare parts and open orders
There is no universal unlimited stock repurchase obligation. Check returns, buyback provisions and sell-off periods. Saleability, expiry dates, packaging, serial numbers and previous discounts affect the assessment. Transport and customs costs are separate issues.
For outstanding orders, identify acceptance, advances and delivery dates. Ending the distribution agreement does not necessarily extinguish duties owed to end customers. A transition protocol can address warranty service, spare parts, customer notices and service records. Closing the relationship and discharging existing liabilities are different tasks.
Dedicated investment and mitigation
Showrooms, specialized warehouse equipment and brand-specific training may be relevant. Examine instructions and supplier approval, expected recovery time and alternative use. Claiming the original cost of a long-used asset without recognizing benefits already received or residual value may overstate loss.
Document reasonable mitigation, such as seeking alternative brands, selling stock appropriately and ending unnecessary expenditure. Mitigation does not permit unlawful disclosure of trade secrets or customer data. Experts need underlying records, not merely a final figure. Separate forecasts from actual expenditure.
Post-termination restrictions and customer data
A non-compete clause or customer restriction is not necessarily enforceable without limits merely because it appears in the contract. Duration, scope, product market and competition law require review. Agency-specific restrictions should not simply be copied into the distribution analysis.
Turkey’s vertical-agreement framework may affect exclusivity and sales restrictions. This differs from compensation analysis but may influence enforceability. Customer-list handover must also respect confidentiality and data protection. The need to prove a claim does not authorize unlimited disclosure. (Turkish Competition Authority, Guidelines on Vertical Agreements)
Foreign suppliers: governing law and jurisdiction
A contract involving a Turkish distributor may select foreign law or foreign courts. Assess these clauses under private international law and applicable mandatory rules. Sales in Turkey do not automatically make Turkish law govern every issue; a foreign-law clause also does not necessarily eliminate every Turkish remedy.
Governing law and jurisdiction are distinct. For arbitration, check institution, seat, language and scope. Meetings or legal representation in Istanbul do not alter the agreed dispute mechanism. Review international arbitration options before notice where relevant. Interim protection in Turkey and the forum deciding the merits may differ. (Turkish Private International and Procedural Law Act)
Mediation, proceedings and recovery
Before a commercial monetary or damages action in Turkey, check mandatory mediation, including the effect of a valid arbitration agreement or special rule. Discussions can cover stock delivery, trademark use, customers and unpaid invoices rather than only a lump sum. Settlement terms should specify payment date, currency, security and release scope.
The statutory effect of mediation on time limits differs from ordinary settlement correspondence. Track the final record, remaining deadlines and parallel foreign proceedings. A judgment and actual recovery of cross-border receivables in Turkey are separate outcomes: assets and enforcement country matter. (Law on Mediation in Civil Disputes)
Proving customer contribution and agreeing a transition
A list of names may not prove customer creation. Show entry dates, previous sales, local marketing and continuity after termination. Increased business with existing customers also needs data. Compare like periods and products while distinguishing the supplier’s central advertising from the distributor’s contribution.
Post-termination sales may be unavailable. Identify known data and records held by the other party rather than presenting unknown sales as established income. Document production and expert analysis may help. Limit personal details to what is needed; pressure on customers or unauthorized system access is not a proper evidence method.
The protocol should address websites, domain names, social accounts and advertising. A distributor’s trade name and the supplier’s trademark rest on different rights. Any limited service-related brand permission needs a defined period and scope. Customer communications should be accurate and should not present unresolved allegations as final court findings.
Reconcile invoices, rebates, returns and counterclaims separately. Recording an invoice should not be drafted as a waiver of all termination claims. Assess set-off conditions and avoid ambiguous releases extending a limited reconciliation to the whole relationship. Confirm delivered stock and documents after final payment.
For foreign suppliers, explain Turkey’s relevant sales cycle, distribution channels and service arrangements as evidence of loss and transition needs, not as a special privilege. Translations must distinguish termination, rescission and non-renewal. Where multilingual contracts differ, check the prevailing-language clause.
Preparing the initial legal review
Collect the signed agreement, amendments, price lists, targets, orders, termination notice and delivery evidence. Identify email users and link every calculation to a source document. Translating only selected pages may omit an important exception or jurisdiction clause.
Lawyer Esra Aslan can assess the termination basis, counterclaims and provable loss together. Unpaid supplier invoices and distributor receivables should be disclosed from the outset. This is general information; governing law, industry and the circumstances of termination require individual analysis.
Frequently Asked Questions
Does every distributor receive goodwill compensation?
No. Exclusivity, continuing customer benefit and the other legal conditions require examination.
Does expiry eliminate every compensation claim?
No. Each claim has its own conditions, including possible goodwill indemnity.
Is three months’ notice universal?
No. The agency provision does not automatically govern every distribution agreement.
When does the one-year indemnity period start?
It starts when the contractual relationship terminates and is not the period for all damages claims.
Must the manufacturer buy back all stock?
Not necessarily. Contract terms, stock condition and termination circumstances matter.
Can I claim turnover as lost profit?
No. Costs, saved expenditure and actual economic loss must be considered.
Is an email notice always sufficient?
No. Check Article 18(3), the contract and proof of delivery.
Does foreign law prevent proceedings in Turkey?
Not automatically. Choice of law and jurisdiction are different questions.
Do negotiations stop every deadline?
No. Ordinary discussions and statutory mediation have different effects.
May I keep using the brand after termination?
Only within a valid authorization and applicable legal limits; stock sales and advertising need separate review.
