How can a shareholder leave a limited company in Turkey?
A shareholder may leave a Turkish limited company by exercising a withdrawal right provided in its articles of association or by obtaining a court judgment where there are just grounds. Selling the share to someone else is a share transfer governed by separate requirements. A departing shareholder can generally claim an exit payment corresponding to the real value of the capital share. Establishing that value and establishing when payment becomes due are different questions. An ordinary resignation message does not automatically terminate share ownership or every associated responsibility. (Turkish Commercial Code, Articles 595 and 638–642)
For foreign investors in Turkey, the first step is to distinguish share ownership, directorship and creditor status. One person can hold all three positions, but ending one does not necessarily end the others. The current articles, share records and trade registry entries must be checked. Simply no longer wanting the investment does not automatically establish just grounds for judicial withdrawal.
Checking the withdrawal clause in the articles
The articles may grant a withdrawal right subject to conditions, such as a specified event, notice or procedure. Read the full provision together with subsequent amendments and the registered version. A separate shareholders’ agreement may impose obligations on different parties and is not necessarily equivalent to a provision in the company’s articles.
A notice should identify the clause relied upon, when its conditions were met and the requested legal consequence. Keep evidence that it reached an authorized company representative. Any contractual valuation provision must also be reviewed: the Code permits a different arrangement for payments connected with a contractual withdrawal right. However, the absence of a withdrawal clause does not eliminate the statutory right to seek judicial withdrawal for just grounds.
What may constitute just grounds?
The question is whether continuation of the relationship can reasonably be expected in the particular circumstances. Persistent refusal of information, alleged diversion of company resources, systematic obstruction of shareholder rights or serious decision-making deadlock may be relevant. These are not automatic grounds for success. Their seriousness, duration, effect on the company and the parties’ conduct must be examined together.
A disagreement at one meeting differs from prolonged exclusion. Failure to distribute profits must be assessed alongside investment needs, financial circumstances and the reasons for the decision. Prepare a dated chronology supported by documents. In a hypothetical case involving three years without access to financial statements, written requests and responses will be more useful than a general statement of distrust.
Share transfer, withdrawal and dissolution
A transfer requires a buyer, agreement on price and compliance with formal and approval requirements. Under Article 595, the transfer and an undertaking to transfer must be in writing with notarized signatures. General meeting approval is required unless the articles provide otherwise. A transfer prohibition or refusal of approval does not extinguish the right to withdraw for just grounds, but refusal alone does not guarantee a judgment.
| Route | Legal basis | Payment counterpart |
|---|---|---|
| Share transfer | Agreement with buyer and required approval | Generally the buyer |
| Contractual withdrawal | Right and conditions in the articles | The company for the exit payment |
| Judicial withdrawal | Court judgment | The company for the exit payment |
| Dissolution | Termination and liquidation rules | Distribution under liquidation rules |
A discussion in which another shareholder offers to buy the shares does not necessarily make the company liable for the purchase price. Agreements should identify the debtor, the transaction for which payment is made and the conditions for transferring ownership. Registry and share ledger formalities also need follow-up. See the firm’s commercial law and company disputes practice for the broader framework.
Defendant and competent court in Turkey
A claim for judicial withdrawal is primarily brought against the company. A dispute with another shareholder does not justify naming only that person instead. A separate damages claim against an individual needs its own legal basis and standing analysis. Check the company’s current registered name, office and representative rather than relying on an old contract.
The dispute is commercial and falls within the jurisdiction of the commercial court of first instance. The exclusive territorial rule for disputes arising from the membership relationship points to the company’s registered office. Instructing a lawyer in Istanbul does not itself make Istanbul courts competent if the company is based elsewhere. A foreign shareholder’s residence abroad does not change the Turkish company’s seat. (Code of Civil Procedure, Article 14)
Withdrawal and mandatory mediation
A request only to end shareholder status is not the same procedural claim as recovery of money. Mandatory mediation rules matter for commercial monetary and damages actions. If withdrawal and an exit payment are sought together, the nature of the combined claims and judicial practice must be assessed. Neither “all company cases require mediation” nor “withdrawal cases never require it” is a reliable generalization.
Mediation may produce an agreed transfer, payment schedule or settlement. It does not necessarily remove company law requirements for corporate resolutions and transaction formalities. Each signatory’s capacity and authority must be established. Confidentiality, the scope of mediation and the effect of a settlement are governed by the applicable legislation. (Law on Mediation in Civil Disputes)
Real value and the exit payment
The starting point is the real value of the capital share, not automatically the original contribution or nominal registered amount. Property, machinery, recoverability of receivables, liabilities and the continuity of the business can affect valuation. Multiplying a single balance-sheet equity figure by the ownership percentage may not adequately identify real value. (Turkish Commercial Code, Article 641)
A property recorded at a low historic value and a large uncollectible receivable affect the calculation in different directions. Going-concern value, hidden reserves and the actual debt burden may require expert examination. A shareholder loan is a separate asset from the exit payment. Current-account receivables, declared dividends and the value of the share must be distinguished to avoid double counting.
Documents needed for valuation
One year’s balance sheet will often be insufficient. Recent financial statements, detailed trial balances, bank records, property and vehicle registers, ongoing contracts and significant litigation should be reviewed together. Related-party transactions, off-balance-sheet commitments and the collectability of reported receivables may also matter. Identify the date and source of every record.
- Current articles, amendments, registry records and share ledger.
- General meeting resolutions and management authority documents.
- Financial statements and significant asset and liability schedules.
- Correspondence and notices supporting just grounds.
- Shareholder accounts, capital contributions and personal guarantees.
Documents must be obtained lawfully. Do not access systems without authorization or use someone else’s account. Shareholder information and inspection rights can be exercised through legal channels. Identify missing documents and their holder. Questions for experts should fit the business and separate technical calculation from legal issues reserved for the court.
Does valuation make the whole amount immediately payable?
No. Article 642 links maturity to conditions involving available equity, the transferability of the departing shareholder’s shares or a lawful capital reduction. Maturity means that performance can now be demanded. The source of payment and statutory conditions therefore need examination alongside the valuation. Cash in a bank account is not necessarily legally available equity.
The unpaid portion’s position behind other company creditors and the rules for its later maturity are also significant. A settlement should specify instalments, security, default consequences and the remaining balance. Guarantees and pledges require their own validity and creation analysis. A sentence saying payment will be made later does not demonstrate that recovery is secure.
Protecting rights while proceedings continue
Filing the action does not automatically suspend membership rights or obligations. Article 638 allows the court, upon request, to freeze certain rights and obligations or secure the claimant’s position during proceedings. The requested measure and its necessity must be specific. A broad request to halt all company activity requires a proportionality assessment.
Where an unusual asset disposal is alleged, identify the asset, proposed transaction and timing. Litigation does not automatically freeze all company property. Business continuity and the interests of employees and creditors remain relevant. Interim protection is separate from the final judgment and must not be presented as proof that withdrawal will be granted.
Joining a withdrawal and challenging expulsion
Managers must inform the other shareholders when a shareholder invokes contractual withdrawal or files for withdrawal on just grounds. Article 639 provides one month from receipt of that information for exercising the statutory right to join, subject to its conditions. Another shareholder’s departure does not create an unconditional exit right for everyone. Record when the information reached each relevant person.
Expulsion is different. Under Article 640, an action challenging an expulsion decision based on a ground in the articles may be brought within three months of notification through a notary. This is not a universal deadline for every withdrawal action. The remedy and triggering event must be identified together. Registration issues should also be checked under the Trade Registry Regulation.
Can a foreign shareholder act without travelling to Turkey?
Many steps can be handled through a properly authorized representative. The country of execution, apostille or other authentication, translation and transaction-specific form must be checked. Litigation authority may differ from authority to transfer shares or settle. Review the intended transaction before arranging a power of attorney for a lawyer in Turkey from abroad.
A foreign corporate shareholder may also need home-country registry documents and resolutions proving its representative’s authority. Planning for foreign investment and company transactions in Turkey should include payment, tax and registration consequences. Foreign nationality or residence does not itself give a higher exit payment or an easier withdrawal route.
Challenging the expert report and closing a settlement
An objection should identify omitted assets, duplicated liabilities or unrealistic assumptions rather than merely calling the valuation too low. Going-concern and liquidation approaches can produce different results. The report should explain its method and the legal basis for the valuation date. An old financial statement cannot automatically be treated as a current picture.
Related-party transactions need careful examination. If the principal customer is controlled by another shareholder, contract continuity and pricing may affect value. However, not every group transaction is abusive: examine contracts, payments, costs and market evidence. Keep personal property separate from company property. A building owned personally by a shareholder must not be counted as a company-owned asset merely because the company uses it.
Agreeing a price is only part of settlement. Identify who receives the share, the legal exit route, required resolutions and document handover dates. Broad releases before full payment or unclear transfer conditions can create new disputes. Instalment terms should identify the account, currency and bank charges.
A closing checklist should cover the trade registry, share ledger, bank signing authority and digital access. Ownership termination and document delivery may occur on different dates. Record the transfer of devices, books and files to an authorized recipient. This both protects records and avoids unnecessary continued access. Confirm exactly which liabilities each payment discharges.
Budget for valuation, translations, service and registry steps as well as legal assistance. No fixed completion period can be promised; access to records and the expert examination affect timing. An indexed document set helps identify gaps early and gives parties a common financial basis for negotiations.
Responsibilities that may survive withdrawal
Ending share ownership does not automatically terminate a personal guarantee given to a bank, landlord or other creditor. Review the relevant contract and any required creditor consent. Public debts also require analysis of special legislation, the debt period and the person’s ownership or representative role. An internal release does not automatically extinguish third-party rights.
Ending directorship, signing authority, bank access and document custody requires a separate closing process. Confidentiality and personal-data obligations must also be considered. A review with lawyer Esra Aslan can address the legal exit basis, valuation and collection plan together. This article provides general information; company records and the law applicable at the time of action require individual review.
Frequently Asked Questions
Is a notarized resignation enough?
Not in every case. Check whether a valid contractual withdrawal right or court judgment is needed.
Can I sue if no buyer is available?
Yes, if just grounds exist. Lack of a buyer alone does not necessarily establish them.
Does a minority shareholding prevent a claim?
No. Article 638 grants the right to every shareholder, but the alleged grounds still need proof.
Is payment limited to my initial capital?
Generally no. Real share value and applicable contractual provisions must be assessed.
Will a loss-making company necessarily pay me?
No positive amount can be guaranteed without examining value, debts and maturity conditions.
Does resigning as director end ownership?
No. Directorship and share ownership are separate legal positions.
Can I join another shareholder’s withdrawal?
Potentially, subject to statutory conditions. The Article 639 month runs from receipt of the relevant information.
Is my shareholder loan part of the exit payment?
Not automatically. Separate the debt claim from share value and avoid duplication.
Is there a special court for foreign shareholders?
No separate court applies solely because a shareholder is foreign. The company’s seat and dispute type matter.
Does settlement release my bank guarantee?
Not automatically. The guarantee and the creditor’s rights must be examined separately.
