award is not automatically enforceable in Turkey

Compulsory execution of a foreign arbitral award in Turkey generally requires an enforcement order from the competent Turkish court. Recognition may be relevant where only the award’s legal effect is relied upon. The examination begins with applicable international treaties, particularly the 1958 New York Convention, and, where relevant, Law No. 5718 on Private International Law and Procedure (MÖHUK). Winning an award does not itself permit direct collection from the debtor’s Turkish bank account. (MÖHUK, Articles 60–63)

The Turkish court does not resolve the commercial dispute from the beginning. It examines recognition or enforcement conditions and asserted grounds for refusal. A properly maintained arbitration file is valuable, but the Turkish application separately requires work on documents, translation, subject-matter jurisdiction, venue and the requested relief. Collection planning for the creditor and defence rights for the debtor are addressed through this distinct proceeding.

The practical difference between recognition and enforcement

Recognition concerns acceptance of an award’s legal effect in Turkey; enforcement concerns compulsory execution. Relying on an award against renewed litigation differs from collecting money from Turkish assets. If the desired result is unclear, the scope of the application or later execution may become problematic. Not every award orders payment of money.

Article 63 subjects recognition of foreign arbitral awards to the provisions governing enforcement. Rules for recognising foreign court judgments should therefore not be transferred indiscriminately to awards. If only part of an award is relied upon, identify the operative provisions concerned. Principal, interest and costs should be separated where they involve different currencies or starting dates.

Determining the foreign character and seat of arbitration

A party’s foreign nationality alone does not establish that an award is foreign. Examine the legal seat, applicable procedure and the award’s classification under the relevant regime. An online hearing or a meeting in another city does not necessarily change the seat. The administering institution’s headquarters may also differ from the legal seat. Read the award and arbitration agreement together.

An international award made in Turkey may follow a different route from an award made abroad. Turkish set-aside proceedings and enforcement of a foreign award are also different actions. Initial checks should identify the parties, seat, institutional or ad hoc character, applicable rules and award date. The article on the lawyer’s role in international arbitration provides background; the focus here is the post-award Turkish stage.

The New York Convention and Turkey’s reservations

Turkey declared that it applies the Convention on reciprocity to awards made in the territory of other contracting states. It also limits application to disputes arising from legal relationships, contractual or otherwise, considered commercial under Turkish law. Check both the seat state’s treaty status and the commercial character of the relationship. The fact that a company is foreign answers neither question by itself. (United Nations Treaty Collection: Turkey’s declaration)

An award outside the Convention’s scope should not immediately be treated as having no route in Turkey. MÖHUK and other applicable treaties require consideration. Article VII’s protection of more favourable rights may also be relevant. However, provisions from different regimes should not be combined without legal analysis. The application should clearly establish the conditions of its chosen legal basis.

Choosing the competent court and venue

Article 60 refers enforcement to a court of first instance. For commercial disputes, the commercial court’s jurisdiction and court-organisation rules must also be considered. Subject-matter jurisdiction determines the type of court; territorial jurisdiction determines where to apply. These are separate questions. Law No. 5235’s provisions on a judicial panel also matter for recognition and enforcement of foreign awards. (Law No. 5235, Article 5)

For venue, first consider the place agreed by the parties in writing. Without such agreement, the sequence is the respondent’s domicile in Turkey, failing that the place of residence, and failing that the location of assets available for execution. The Ankara, Istanbul or Izmir fallback familiar from foreign court judgments should not automatically be applied to arbitral awards. Retaining an Istanbul lawyer does not itself establish Istanbul jurisdiction. (MÖHUK, Article 60(2))

Binding effect is different from a judgment’s finality

Under the New York Convention, whether the award has become binding on the parties is important. It is incorrect to require a separate enforcement order from the seat country for every award. Article 60 likewise addresses foreign awards that have become final and enforceable or binding on the parties. A finality-certificate approach used for court judgments should not automatically be applied in the same way.

Read the award, arbitration rules and any correction or supplemental-award process together. A procedural order may differ from a final award or an award conclusively determining a separate claim. The word “award” alone does not prove that every provision is executable in the same way. Explain which part is binding and which part is requested. (New York Convention, Article IV)

The main grounds for refusal

Article V addresses incapacity and invalidity of the arbitration agreement, lack of proper notice of appointment or proceedings, inability to present a case, excess of the submission to arbitration, improper tribunal composition or procedure, and the award’s binding status. An award set aside or suspended by a competent authority also matters. A defence invoking these grounds must identify supporting facts.

Non-arbitrability under Turkish law and public policy are matters the court may also consider. Article 62 of MÖHUK sets out refusal grounds and evidential burdens within its own scope. Losing in arbitration does not itself establish a refusal ground. A defence should connect the relevant ground with evidence rather than simply reargue the commercial merits.

Does the Turkish court reconsider the merits?

Enforcement review is not a general second trial examining afresh how arbitrators weighed evidence or interpreted the contract. Disagreement with the award alone does not justify refusal. Specific issues such as public policy, defence rights and the limits of arbitral authority can nevertheless be examined. Preserving this distinction makes both the creditor’s request and the debtor’s objections clearer.

Public policy is not an unlimited basis for excluding every difference in foreign law. The award’s effects in Turkey and relevant fundamental principles require assessment. Similarly, rejection of a claim differs from denial of any opportunity to address it. Explaining that distinction prevents an argument being placed in the wrong legal category. (New York Convention, Article V)

Notification records and the right to defend

Notices concerning appointment of arbitrators and the proceedings may be decisive. Examine the address used, whether the party used it, the notification method under the chosen rules and the opportunity to defend. Non-participation is not the same as being deprived of an opportunity to participate. A deliberate choice not to take part differs from never being informed.

The creditor should preserve dispatch and delivery records; the debtor should explain at which stage the alleged defect affected the defence. Rather than merely stating that an email was not received, examine addresses, earlier correspondence and dates. Service in the Turkish enforcement proceedings is separate from arbitral notifications. Proper procedure at one stage does not make records of the other unnecessary.

How a set-aside application at the seat affects Turkey

An application to set aside or suspend the award abroad should be disclosed in Turkey. Article VI permits adjournment of the enforcement decision and, upon application, suitable security. It is incorrect to say that foreign proceedings automatically halt the Turkish case. Present the application’s substance, procedural stage and any decisions already made.

The Turkish enforcement court does not replace the seat court in conducting foreign set-aside proceedings. A set-aside application and a Turkish enforcement defence are distinct procedures; observing a deadline in one does not automatically preserve the other. Where lawyers work in both countries, petitions and decisions should be shared promptly. Failing to report developments can leave the other court working from incomplete or outdated information.

Collection, costs and timing after enforcement

An enforcement order and actual collection are different outcomes. The debtor’s executable Turkish assets, exemptions, other creditors and payments already made require examination. Protective measures such as provisional attachment have their own conditions; an award does not guarantee acceptance of every protective request. The guide to collecting foreign claims in Turkey helps connect the court order with execution planning.

Filing, translation, service, representation and appellate costs vary. A fixed fee or guaranteed duration would be misleading. Accurate foreign addresses and ready documents affect planning. Remedies against the enforcement decision and their effect on execution must be checked under procedural rules and the provisions incorporated by Article 61. The mere issue of a decision does not establish that every prerequisite to execution is complete.

Checking amounts, corporate identity and attachments

A recurring problem is treating an amount mentioned in the reasoning as though it were awarded in the operative part. Compare the requested calculation with the disposition and any corrected or supplemental award. If interest dates, rates or methods are unclear, identify the interpretation issue instead of adding a new interest item based on commercial expectations. The Turkish relief sought should match what the award actually grants.

Distinguish companies within a group. A Turkish subsidiary is not automatically liable for an award against another group company. Check the respondent’s identity and ownership of assets said to be in Turkey. Explain name changes, mergers, transfers or representation relationships and their legal consequences. Differences between the named party and current registry records should not remain unexplained.

Attachments are equally important. If the arbitration clause is incorporated by reference, a signature page alone may not establish its scope. Names and dates of attached files and the actual texts sent can matter to notification evidence. If multiple award versions exist, establish which signed version is operative. These checks organise the existing record; they do not create new evidence.

An indexed file also clarifies the defence. Linking each objection to a document and page prevents the central legal question disappearing among hundreds of pages. Protection of trade secrets may require separate applications; arbitral confidentiality should not be assumed to apply unchanged in the court file without further steps. Representation scope, document sharing and expenses can be clarified during preparation.

The company’s initial file for legal review

Prepare the complete award, contract containing the arbitration agreement, attachments, procedural orders, notices, payment records and any set-aside papers. Separately calculate the part still outstanding. Disclose partial payments and calculate interest and costs according to the operative provisions. Check the current names and authority records of both applicant and respondent.

In a hypothetical example, a commercial award seated in Paris grants a monetary claim and the debtor has Turkish assets. First verify treaty scope, party status and binding effect, then prepare jurisdiction and documents. In another hypothetical example, the debtor says it was never informed of arbitrator appointment. The focus is notification records and the opportunity to defend, rather than a bare objection. Neither example calls for a complete retrial of the commercial claim.

A review with Lawyer Esra Aslan can bring together commercial contracts and corporate records, the award and Turkish execution needs. Under the New York Convention, binding effect and the award’s status are assessed.

Will the arbitration be tried again in Turkey?

No. Review concerns recognition and enforcement conditions, rather than a general rehearing of the merits.

Does a set-aside case automatically stop Turkish enforcement?

No. Adjournment and any security are separately assessed by the court.

Is translating only the award sufficient?

No. A proper award copy, arbitration agreement and other applicable documents are also needed.

Does every document need an apostille?

There is no universal answer. Document type, authentication and treaty rules must be checked.

Can a non-participating party always prevent enforcement?

No. Choosing not to participate differs from denial of a defence opportunity; the notification record matters.

Can only part of an award be submitted?

A partial request may be possible. Identify the operative part and assess separability.

Does enforcement guarantee payment?

No. Assets and execution conditions require separate assessment; an enforcement order is not a collection guarantee.

A foreign arbitral award is not automatically enforceable in Turkey Compulsory execution of a foreign arbitral award in Turkey generally requires an enforcement order from the competent Turkish court.
